1. Who We Are

Virtual Quantum Neural Cell LLC ("VQNC," "we," "us," or "our") operates the website vqnclabs.com and the VQNC Command Center platform. We provide AI agent orchestration, operational intelligence services, and the VQNC agent runtime layer.

2. Information We Collect

We collect only the information necessary to deliver our services:

• Contact data: Name, email address, and company name submitted through audit request or contact forms.
• Usage data: Anonymized analytics such as page views, session duration, and referral source to improve the site experience.
• Agent execution data: For Command Center clients, logs of AI agent runs (prompts, token counts, timestamps) necessary to operate the service. This data is client-owned.

We do not collect payment information directly. Any billing is processed by third-party providers (e.g., Stripe) under their own privacy policies.

3. How We Use Your Information

• To respond to audit requests and communicate about our services.
• To provision and maintain your Command Center account and agent infrastructure.
• To improve site performance and user experience through aggregated analytics.
• To comply with applicable legal obligations.

We do not sell, rent, or trade your personal information to third parties.

4. Data Retention

Contact inquiries are retained for up to 2 years or until you request deletion. Agent execution logs are retained for 90 days by default; enterprise clients may configure custom retention policies.

5. Third-Party Services

Our platform integrates with the following external services, each governed by their own privacy policies:

• Google Fonts (typography delivery)
• VQNC Agent Runtime (agent orchestration infrastructure)
• OpenAI / Anthropic APIs (AI model inference — no user data is stored by us with these providers beyond the session)

6. Security

We implement industry-standard security controls including HTTPS-only delivery, Content Security Policy headers, and access-controlled environments for all agent infrastructure. No method of transmission or storage is 100% secure; we will notify affected users of any breach within 72 hours of discovery.

7. Your Rights

Depending on your jurisdiction, you may have rights to access, correct, delete, or port your data. To exercise any of these rights, contact us at hello@vqnclabs.com. We respond to all verified requests within 30 days.

8. Changes to This Policy

We may update this policy periodically. Material changes will be communicated via email to active clients. Continued use of our services after changes take effect constitutes acceptance of the revised policy.

1. Acceptance

By accessing vqnclabs.com or using VQNC services (including the Command Center, agent runtime, and AI audit engagements), you agree to these Terms of Service. If you do not agree, do not use our services.

2. Services

VQNC provides AI agent orchestration, operational intelligence consulting, and related services. Specific deliverables, timelines, and pricing for engagements are defined in separate Statements of Work or Order Forms agreed upon in writing.

3. Acceptable Use

You agree not to:

• Use VQNC services to generate illegal, harmful, or deceptive content.
• Attempt to reverse-engineer, scrape, or circumvent security controls on our platform.
• Resell or sublicense access to VQNC services without written authorization.
• Use AI agent outputs to violate the rights of any third party.

4. Intellectual Property

All VQNC platform code, design, and documentation is proprietary to Virtual Quantum Neural Cell LLC. Client data and outputs generated from client-provided prompts remain the property of the client. VQNC retains the right to use anonymized, aggregated outputs to improve its services.

5. AI Outputs Disclaimer

AI-generated outputs provided by our agents are for informational and operational assistance purposes only. VQNC does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated content. Clients are responsible for reviewing and validating outputs before acting on them.

6. Payment & Billing

Fees for services are as outlined in your Order Form or the published pricing tiers on our Solutions page. Invoices are due net-30 unless otherwise specified. Overdue accounts may have service access suspended after 15 days notice.

7. Limitation of Liability

To the maximum extent permitted by law, VQNC's total liability for any claim arising from use of our services is limited to the amount paid by the client in the 3 months preceding the claim. VQNC is not liable for indirect, incidental, special, or consequential damages.

8. Termination

Either party may terminate a service engagement with 30 days written notice. VQNC may terminate immediately for material breach of these Terms or non-payment. Upon termination, client data will be exported and deleted within 30 days upon request.

9. Governing Law

These Terms are governed by the laws of the State of Florida, United States. Disputes shall be resolved through binding arbitration in Miami, FL, except where prohibited by law.
